Synergy Power Development Limited Holds 19th AGM, Approves Dividends and Key Governance Decisions

Kathmandu - Synergy Power Development Limited has successfully concluded its 19th Annual General Meeting (AGM) today, endorsing a range of important financial, governance, and policy-related agendas for the fiscal year 2081/82.
During the AGM, shareholders reviewed and approved the company’s financial highlights for FY 2081/82, reflecting the overall operational and financial performance of the hydropower company over the past year. As part of its profit distribution plan, the meeting approved the issuance of 10 percent bonus shares along with a 0.5263 percent cash dividend, the latter primarily intended to cover tax obligations on the bonus shares.
The AGM also approved the appointment of the auditor for the upcoming fiscal year and finalized decisions related to changes in equity, in line with the company’s financial restructuring and future growth plans.
Strengthening corporate governance was a key focus of the meeting. Shareholders approved the appointment of independent directors, the establishment and formation of the Board of Directors, and the election of directors, ensuring compliance with regulatory requirements and enhancing transparency and accountability in the company’s leadership structure.
In addition, the meeting endorsed an amendment to the Articles of Association, aimed at aligning the company’s internal regulations with prevailing laws, regulatory frameworks, and evolving corporate governance standards.
With these resolutions in place, Synergy Power Development Limited aims to further consolidate its operational stability, strengthen investor confidence, and advance its role in Nepal’s clean energy sector.
