Kathmandu, October 13, 2026 - Three Star Hydropower Limited has concluded its 9th, 10th and 11th Annual General Meetings (AGMs) in Kathmandu, addressing key financial, administrative, corporate governance and capital-related matters concerning the company’s operations and future direction.
The joint annual general meetings covered the financial highlights and annual reports for fiscal years 2080/81, 2081/82 and 2082/83, including the review and approval of the company’s financial statements and related audit reports. The meetings also addressed the appointment of auditors, the formation of the Board of Directors and the election of directors.
Among the major agendas were the proposed change of the company’s registered address, restructuring of its capital structure, and arrangements concerning the purchase and transfer of rights to acquire right shares. The meetings also considered the issuance of right shares at a 1:1 ratio, under which eligible shareholders would be offered one right share for every existing share held, subject to the applicable approvals and procedures.
Other key items included amendments to the company’s Memorandum of Association and Articles of Association, along with the delegation of authority to the Board of Directors to implement necessary changes in response to directives or requirements from regulatory authorities.
The meetings also addressed the election of directors, including representation of at least one woman, as outlined in the company’s AGM agenda.
The decisions and proposals considered at the meetings are significant to the company’s corporate governance, capital management and future financial planning. The proposed right-share issuance and capital restructuring will be of particular interest to existing shareholders and market participants, subject to the required regulatory approvals and implementation procedures.
