Nyadi Hydropower Limited Concludes 18th AGM, Endorses Financials and Appoints Auditor

Kathmandu - Nyadi Hydropower Limited (NHL), the developer of the Nyadi Hydropower Project, has successfully concluded its 18th Annual General Meeting (AGM), endorsing key agenda items including the financial highlights of fiscal year 2081/82 and the appointment of an auditor for the current fiscal year.
Nyadi Hydropower Limited was established following an understanding reached in October 2006 between Butwal Power Company Limited (BPC) and Lamjung Electricity Development Company Limited (LEDCO) to jointly develop the Nyadi Hydropower Project. Under this consortium arrangement, Nyadi Hydropower Limited was formed with BPC as the major stakeholder, holding 98.19 percent of the shares at the time of incorporation, while LEDCO held the remaining 1.81 percent.
The company’s capital structure underwent a significant change following its public share issuance in fiscal year 2078/79. During this period, Nyadi Hydropower Limited issued 4,050,000 ordinary shares to project-affected locals and the general public, raising a total of NPR 405 million. This public issue marked an important milestone in broadening public ownership and local participation in the project.
After the public offering, the company’s shareholding structure was revised. Butwal Power Company Limited now holds 71.19 percent of the total shares, while Lamjung Electricity Development Company Limited retains its 1.81 percent stake. The remaining shares are distributed among employees of the promoter shareholders (2 percent), project-affected locals and residents of Lamjung district (10 percent), and the general public, including company employees (15 percent).
During the AGM, shareholders reviewed the company’s financial performance for FY 2081/82 and approved the related financial statements. The meeting also approved the appointment of an auditor, authorizing the board of directors to determine remuneration in accordance with prevailing regulations.IMG_20260113_111023-1768282235.jpg

Nyadi Hydropower Limited continues to move forward under the leadership of its major promoter, Butwal Power Company Limited, with a focus on strengthening project implementation, maintaining transparency, and ensuring meaningful participation of local communities and public investors in Nepal’s hydropower development.
