Supermai Hydropower Concludes 11th AGM, Endorses 21.11% Dividend and Announces 1:1 Rights Share Plan

Kathmandu, March 1, 2026 - Supermai Hydropower Limited (SMH) has successfully concluded its 11th Annual General Meeting (AGM) today in Kathmandu, endorsing a 21.11 percent total dividend for the fiscal year 2081/82 and unveiling plans for a significant rights share issuance aimed at expanding its investment portfolio in Nepal’s hydropower sector.
Dividend Endorsed
The AGM approved a total dividend of 21.11 percent for shareholders. This includes:
20 percent bonus shares, and
1.11 percent cash dividend, allocated primarily for tax purposes on the bonus shares.
The dividend decision reflects the company’s operational performance from its 7.8 MW Super-Mai Hydropower Project located in Ilam district. The run-of-the-river project has been in commercial operation since Kartik 11, 2075 BS (October 2018), supplying electricity to the Nepal Electricity Authority (NEA) under a power purchase agreement.
1:1 Rights Share Proposal
Following the distribution of bonus shares, the company has proposed issuing rights shares in a 1:1 ratio, equivalent to 100 percent of the adjusted paid-up capital. The additional capital raised through the rights offering is expected to be invested in other hydropower ventures, signaling SMH’s strategy to diversify and strengthen its footprint in Nepal’s growing renewable energy market.
The rights share plan will be subject to regulatory approvals and further procedural steps as required.
Share Price Adjustment
Prior to the AGM, the Nepal Stock Exchange (NEPSE) adjusted SMH’s share price to NPR 591.67 on February 25, 2026, following the book closure related to the bonus share distribution. Such adjustments are routine to reflect the impact of bonus shares on market valuation.
Strategic Outlook
With stable generation from its Ilam-based project and plans for fresh capital mobilization, Supermai Hydropower Limited appears focused on leveraging investor confidence to participate in new hydropower developments. As Nepal continues prioritizing domestic energy production and export potential, mid-sized independent power producers like SMH play a key role in strengthening the national grid and supporting clean energy expansion.
