Sumeru Polymers Holds First Annual General Meeting, Approves Key Financial and Corporate Decisions

Lalitpur, Nepal - Sumeru Polymers Ltd. successfully held its first Annual General Meeting (AGM) today, endorsing a range of financial, governance, and expansion-related decisions for the fiscal year 2081/82.
During the meeting, shareholders approved the company’s financial highlights for the fiscal year 2081/82 and endorsed the appointment of an external auditor to oversee the company’s financial transparency and accountability.
The AGM also approved several important governance matters, including the appointment of directors and an independent director, as well as the election of board members, strengthening the company’s leadership and institutional framework.
In terms of shareholder benefits, the meeting approved the distribution of a 0.4377 percent cash dividend along with 9 percent bonus shares. The decisions reflect the company’s commitment to rewarding investors while continuing its growth strategy.
Shareholders also endorsed plans to increase the company’s authorized and paid-up capital, a move aimed at supporting future business expansion. In addition, the AGM approved the issuance of right shares in a 10:4 ratio, enabling existing shareholders to increase their investment in the company.
Another notable decision was the approval for the issuance of Initial Public Offering (IPO) shares, which is expected to open the company to wider public participation and strengthen its financial base.
The meeting further approved amendments to the company’s Memorandum and Articles of Association to align with the new financial and structural plans.
Associated with the brand Sumeru Pipes and Fittings, the company manufactures PVC, HDPE, and CPVC pipes and fittings widely used in construction, water supply systems, and infrastructure development across Nepal.
Industry observers say the outcomes of the first AGM mark an important step for the company as it aims to expand its presence in Nepal’s growing infrastructure and manufacturing sector.
